This agreement applies to the commercial license for VoxCloud Nextcloud apps. The Software is also available under the AGPL-3.0 open-source license. This commercial license provides additional rights beyond AGPL-3.0.
1. Parties
This Commercial License Agreement ("Agreement") is entered into between:
- VoxCloud, located at Woestduinstraat 145-1, Amsterdam, the Netherlands, registered with the Chamber of Commerce (KvK) under number 56765789 ("Licensor"). VoxCloud strives towards a steward-owned business model in which profits are reinvested in the product and the open-source community.
- The organization or person to whom the license key has been provided ("Licensee")
2. Relationship to AGPL-3.0
- The source code of the Software is published under the GNU Affero General Public License version 3.0 (AGPL-3.0). Anyone may use, modify, and distribute the Software under the terms of AGPL-3.0.
- This Agreement does not impose any additional restrictions beyond AGPL-3.0. Using the Software without a subscription is completely legal under AGPL-3.0.
- A commercial subscription provides additional services (support, guaranteed updates) but does not modify the rights under AGPL-3.0.
- Upon termination of this Agreement, the Licensee retains all rights under AGPL-3.0. The Software remains fully functional.
3. What does the subscription provide?
A commercial subscription grants the Licensee the right to:
- Support: bug fixes, compatibility issues and technical diagnosis via email (guaranteed response time of 2 business days)
- Guaranteed compatibility: tested with every new Nextcloud release
- Priority bug fixes: issues from subscribers receive priority attention
- Subscription key: a valid key for use with the VoxCloud License Server
4. License terms
- Scope: the License is non-exclusive, non-transferable, and valid for use on one (1) Nextcloud instance.
- Duration: the subscription is valid for one (1) year and renews automatically unless the Licensee cancels at least 30 days before the expiration date.
- Single instance: each license key is bound to a specific Nextcloud instance (via a SHA-256 hash of the instance URL). Use on multiple instances requires multiple licenses.
- Instance migration: when migrating to a new Nextcloud instance, the binding can be reset by contacting VoxCloud support.
- Multiple instances: Organizations with multiple Nextcloud instances need a separate license per instance. Volume discounts are available on a quote basis.
5. Trust-based model
VoxCloud uses a trust-based licensing model. The Software functions identically for all users, regardless of license status. No features are disabled, no restrictive pop-ups are shown to end users, and no performance degradation is applied.
- Above the free volume limits, a notification is shown to administrators (not visible to end users) with a reference to voxcloud.nl.
- The Licensee is free to modify the source code in accordance with AGPL-3.0. However, removing the license validation from the source code does not invalidate this Commercial License Agreement; the contractual obligations remain in effect.
6. Obligations of the licensee
- The Licensee shall keep the license key confidential and not share it with third parties.
- The Licensee shall not use the license key on more than one (1) Nextcloud instance simultaneously.
- The Licensee shall cooperate with reasonable verification requests from VoxCloud regarding the use of the License.
7. Audit
VoxCloud reserves the right to verify, on reasonable grounds and with reasonable advance notice, whether the Licensee complies with the terms of this Agreement. This shall be done in a manner that is as minimally burdensome to the Licensee as possible.
8. Warranty and liability
- The Software is provided "as is", without any warranty of uninterrupted or error-free operation, to the extent permitted by applicable law.
- VoxCloud's liability is governed by the General Terms and Conditions, in particular Article 8 (Liability).
- The Licensee is responsible for making adequate backups and testing updates in a staging environment before deploying to production.
9. Termination
- The Agreement automatically terminates upon expiration of the license period, unless renewed.
- VoxCloud may terminate the Agreement with immediate effect in case of material misuse of the License (such as sharing license keys or using them on multiple instances without permission).
- Upon termination, the right to support and guaranteed updates expires. The Licensee retains all rights under AGPL-3.0 and the Software remains fully functional.
10. Renewal and upgrade
- Renewal of the License is done by entering into a new Agreement for a subsequent license period. VoxCloud will send a reminder email in advance.
- Upgrading from Standard to Enterprise is possible at any time by contacting VoxCloud. The price difference is calculated pro rata over the remaining license period.
11. Miscellaneous
- VoxCloud's General Terms and Conditions apply to this Agreement.
- This Agreement is governed by Dutch law.
- Disputes shall be submitted to the competent court in Amsterdam.
